Terms of Service
Last updated: October 14, 2026
These Terms of Service ("Terms") govern your use of this website and the purchase of services from [EDIT: legal entity name], doing business as Aspiring Scenes ("Aspiring Scenes," "we," "us"), located at [EDIT: business address]. By purchasing a package, signing a proposal or using this site, you ("Client," "you") agree to these Terms.
1. Services
We provide digital agency services including website and web application development, Shopify store development, Meta (Facebook/Instagram) advertising management, AI solutions (agents, chatbots and automations), machine learning systems, and CRM and marketing services (including GoHighLevel). The scope of each package is described on its package page at the time of purchase. Custom work is defined in a written proposal or statement of work ("SOW"), which controls if it conflicts with these Terms.
2. Payment terms
- One-time packages are paid in full at checkout unless a proposal specifies milestone payments.
- "Starting at" packages are paid at the listed starting price; if confirmed scope exceeds it, we will quote the difference in writing before additional work begins.
- Monthly plans are billed in advance on a recurring basis, starting on the purchase date and renewing automatically each month until canceled.
- Payments are processed by Stripe, Inc. We do not store full card numbers. You authorize us, through Stripe, to charge your payment method for one-time and recurring amounts.
- Invoices not paid within 15 days of the due date may pause work. Prices are in U.S. dollars and exclude third-party costs and applicable taxes.
3. Refunds and cancellation
- One-time projects: you may request a full refund before the kickoff call. After kickoff, payments are non-refundable for work performed; any unused portion may be refunded at our discretion based on work completed.
- Subscriptions: you may cancel a monthly plan at any time by emailing [EDIT: email] or through your billing portal. Cancellation takes effect at the end of the current billing period; we do not prorate partial months. Some retainers require an initial minimum term stated on the package page or proposal.
- Third-party fees (ad spend, software subscriptions, domains, apps, AI usage) are non-refundable by us.
4. Timelines and client responsibilities
Delivery times are estimates that begin after kickoff and receipt of required materials. You agree to provide content, brand assets, account access and timely feedback (generally within 3 business days). Delays in providing these extend timelines. Projects paused by the client for more than 30 days may be closed, and restarting may require an additional fee.
5. Revisions
Each package includes the number of revision rounds stated on its page (two rounds if not stated). A revision round is one consolidated set of feedback on existing deliverables. New features, pages or changes in direction are out of scope and will be quoted separately.
6. Intellectual property
Upon receipt of full payment, ownership of final deliverables created specifically for you — including designs, code, trained models and written content — transfers to you. Until full payment, we retain all rights. We retain ownership of our pre-existing tools, templates, frameworks and know-how, and grant you a perpetual license to use them as part of your deliverables. Third-party software, themes, fonts, stock media and platforms remain subject to their own licenses. We may display non-confidential work in our portfolio unless you opt out in writing.
7. Advertising disclaimer
Meta advertising spend is paid directly by you to Meta Platforms, Inc. and is separate from our management fee. We do not guarantee any specific results, including leads, sales, return on ad spend, reach or rankings. Advertising platforms may reject ads or restrict accounts under their own policies, which are outside our control.
8. AI and machine learning disclaimer
AI systems and machine learning models produce probabilistic outputs that may be inaccurate, incomplete or inappropriate. You are responsible for reviewing AI outputs, configuring human oversight, and ensuring your use complies with applicable law (including consumer protection, privacy and telemarketing rules). Model predictions are not guarantees of future results. Usage fees charged by AI model providers are your responsibility.
9. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform under these Terms.
10. Warranties and limitation of liability
Services are provided with reasonable skill and care. Except as expressly stated, services are provided "as is" without warranties of any kind, including merchantability or fitness for a particular purpose. To the maximum extent permitted by law, our total liability arising from any claim is limited to the amounts you paid us in the three (3) months before the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data.
11. Indemnification
You agree to indemnify us against claims arising from content or materials you provide, your products or services, or your use of deliverables in violation of law or third-party rights.
12. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in San Diego County, California, and both parties consent to that jurisdiction.
13. Changes
We may update these Terms. Changes apply to purchases made after the "Last updated" date above.
